GIVEAWAY TERMS & CONDITIONS

• Only participants with registered ShopBack accounts are entitled to participate in the Promotion.
• To qualify as a participant of the Promotion, users have to:

• By submitting to the verification process, you consent or if you are submitting information relating to another individual, you represent and warrant that such individual also consents) to these Promotion terms and conditions.

• In relation to each qualifying order:
• It must be made during the Promotion.
• No minimum spend per order is required.
• 1 chance to win is awarded for each qualifying PayLater order regardless of order amount.
• The first instalment payment must be made within the Promotion period.
• ShopBack PayLater orders refer to the 3 monthly instalments that are successfully transacted via the ShopBack app.
• Canceled orders, returns and/or refunds shall not be eligible for the Promotion and the chance to win.
• Meet the minimum age requirement of 18 years old.
• Be a Singaporean, Singapore Permanent Resident or Non-Singaporean with a valid FIN and must be able to hold United States shares or stock in Singapore.
• ShopBack shall have sole and absolute discretion in determining whether a participant has qualified for the Promotion.
• Winner will be selected through a lucky draw on 18 November 2022 (“Draw Date”) and will be notified and contacted by 21 November 2022.
• All fees / costs related to the transfer (including but not limited to the costs associated with setting up a trading account, and any fees or costs associated with any subsequent sale, transfer or disposition of the shares by the winner etc.) would be borne by the winner and not ShopBack.
• By participating in the Promotion, the Winner agrees to the collection, use and disclosure by ShopBack of the Winner’s name, photo, voice, likeness and biographical information for promotional, advertising, marketing and other purposes without compensation.
• ShopBack reserves the right to deny the Prize to any winner at any point in time.
• Prize is not transferable, non-refundable and non-exchangeable for cash or any items.
• Winner shall have up to ten (10) weeks from the Draw Date to register and redeem the Prize.
• By participating in this Promotion, users are bound by the official rules and regulations of the Promotion.
• Strictly no ShopBack employees are allowed to participate in this Promotion.
• ShopBack has the right to ban a user from participating in this Promotion if any fraudulent activities are detected. In addition, such a user may risk being excluded from all other ShopBack activities.
• ShopBack has the right to disqualify any user from this Promotion at any given time at ShopBack’s absolute discretion, without any prior notice.
• ShopBack has the right to request the Winner to provide proof of identity to claim the Prize.
• ShopBack will not be liable for any claims, costs, losses or damages of any kind whatsoever arising out of connection with this Promotion / contest or with the acceptance or possession of any prize.
• ShopBack reserves the right to vary these Terms & Conditions without prior notice, or withdraw or discontinue the Promotion at any time without any notice or liability to any party. In the event of any inconsistency between these Terms & Conditions and any marketing or promotional materials relating to the Promotion, these Terms & Conditions shall prevail.
